BRIEF-OPD says in talks with chairman re offer

* In discussions with chairman, Peter Hearn, regarding cash offer
* Cash offer for the entire share capital at price of up to 57P for every share
of five pence
* Granted Peter Hearn permission to undertake limited due diligence into the
company.
* Can be no certainty that an offer will be made.
