* Says notes aggregate principal amount of $389,687,000 to finance new and
currently-owned Boeing
(NYSE: BA - news) aircraft
* Says note purchase agreement provides for future issuance
* Says notes related to 12 owned, 5 new, and 7 beoing aircraft scheduled for
delivery
* Says series a equipment notes bearing interest at rate of 9.00 percent per
annum
